1. Acceptance of Terms

By accessing our website or engaging Futuristic Business Solutions ("Company," "we," "us," or "our") for any service, you ("Client" or "you") agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our website or engage our services.

These Terms apply to all visitors, clients, and others who access or use our services, including AI automation, custom application development, and business intelligence engagements.

2. Services Provided

Futuristic Business Solutions provides technology services including but not limited to: AI automation system design and development, custom web and mobile application development, business intelligence and workflow optimization consulting, and ongoing technical support and strategy.

The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate Statement of Work (SOW) or project agreement signed by both parties. In the event of a conflict between these Terms and a signed SOW, the SOW shall govern.

3. Client Responsibilities

To ensure the successful delivery of services, you agree to:

  • Provide accurate, complete, and timely information required for project execution.
  • Designate a primary point of contact authorized to make decisions on your behalf.
  • Review and provide feedback on deliverables within agreed timelines.
  • Ensure you hold appropriate rights or licenses to any materials, data, or third-party assets you provide to us.
  • Not use our services for any unlawful purpose or in violation of any applicable regulations.

Delays caused by failure to meet client responsibilities may result in adjusted timelines and additional costs, which will be communicated in writing.

4. Payment Terms

All fees are outlined in your signed SOW or project agreement. Unless otherwise stated:

  • Invoices are due within the timeframe specified in your agreement.
  • Late payments may be subject to a late fee as specified in the SOW.
  • We reserve the right to pause work on active projects in the event of overdue invoices.
  • All fees are non-refundable unless otherwise agreed upon in writing.

5. Intellectual Property

Upon receipt of full payment for a completed project, all custom-developed deliverables — including source code, designs, and documentation — become the sole intellectual property of the Client, unless otherwise specified in the SOW.

We retain the right to use general methodologies, frameworks, tools, and know-how developed or used during the engagement for other projects. We do not retain rights to your proprietary business data, branding, or client-specific materials.

Any third-party libraries, APIs, or open-source components incorporated into deliverables remain subject to their respective licenses, which will be disclosed to you upon project completion.

6. Limitation of Liability

To the fullest extent permitted by law, Futuristic Business Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services, even if we have been advised of the possibility of such damages.

Our total cumulative liability for any claims arising under or related to a specific engagement shall not exceed the total fees paid by you for that engagement in the three months preceding the claim.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Ohio.

8. Changes to Terms

We reserve the right to modify these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. Continued use of our website or services after any changes constitutes your acceptance of the revised Terms.

For active client engagements, material changes to these Terms will be communicated directly and will not apply retroactively to work already in progress under a signed agreement.
